These Terms of Use ("Terms") govern your access to and use of our website and services where we facilitate the listing of medical devices by manufacturers, sellers, or brands ("Seller") and allow distributors ("Distributors") to inquire about the products. 

Please read these Terms carefully before using our services. By accessing or using our services, you agree to be bound by these Terms. 

1. Acceptance of Terms 

By creating an account as a Manufacturer or Distributor, you agree to comply with and be legally bound by these Terms. If you do not agree to these Terms, please do not use our services. 

2. Registration 

2.1 Manufacturer/Seller/Brand Signup 

Seller must provide accurate and complete information during the registration process. Seller is responsible for keeping their account information up to date. 

2.2 Distributor Signup 

Distributors must provide accurate and complete information during the registration process. Distributors are responsible for keeping their account information up to date. 

3. Listings 

Seller may list medical devices on our platform. All listings must be accurate, complete, and comply with applicable laws and regulations. We reserve the right to remove or modify any listing that does not comply with these Terms. 

4. Inquiries 

Distributors may inquire about products listed by Seller. All inquiries must be made in good faith and comply with applicable laws and regulations. 

5. Transactions 

We facilitate connections between Seller and Distributors but are not a party to any transaction between them. Any agreement or transaction is solely between the Manufacturer and Distributor. 

6. Prohibited Activities 

Users may not use our services for any illegal or unauthorized purpose, including but not limited to: 

- Misrepresenting products or services 

- Engaging in fraudulent or deceptive practices 

- Violating intellectual property rights 

7. Termination 

We may terminate or suspend your account at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users of our services, us, or third parties, or for any other reason. 

8. Disclaimers 

Our services are provided "as is" without any warranties of any kind, either express or implied. We make no representations or warranties regarding the accuracy, reliability, or completeness of any content or listings on our platform. 

9. Limitation of Liability 

To the fullest extent permitted by law, we shall not be liable for any damages or losses arising from your use of our services or any transaction between Seller and Distributors. 

10. Indemnification 

You agree to indemnify and hold us harmless from any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of your use of our services or violation of these Terms. 

11. Governing Law 

These Terms are governed by the laws of New Jersey, USA, without regard to its conflict of law principles. 

12. Changes to Terms 

We may modify these Terms at any time. If we make changes, we will notify you by revising the date at the top of these Terms. Your continued use of our services after any changes constitutes your acceptance of the new Terms.
